Terms and conditions

These terms govern your use of Foundation. By creating an account or using the service, you agree to them on behalf of your agency. If you don't agree, please don't use the service.

The service

Foundation is a software platform for UK estate and letting agencies covering valuations, buyer/tenant management, agency websites, marketing, calculators and lettings compliance, sold as the individual products and bundles described on our pricing page.

Your account

You must be 18 or over and provide accurate information when signing up. You're responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately at hello@foundationagent.co.uk if you suspect unauthorised access.

Trials and billing

Every subscription starts with a 7-day free trial. Payment card details are collected upfront, but nothing is charged during the trial. Unless you cancel before the trial ends, your card is charged automatically when it ends and the subscription begins renewing monthly or annually depending on the plan you selected. You can cancel at any time from your admin dashboard; cancelling during the trial means you're never charged, and cancelling afterwards takes effect at the end of the current billing period. Charges made after the trial has ended are non-refundable. Prices shown are exclusive of VAT unless stated otherwise. We'll give you reasonable notice before any price increase takes effect on your plan.

Acceptable use

You agree not to use Foundation to list or process anything unlawful, to attempt to bypass plan/tier restrictions or security controls, to scrape, resell or sublicense the platform itself, or to send unsolicited bulk communications (spam) through our email or SMS tools. We can suspend accounts that breach this while we investigate.

Your data, and your customers' data

You retain ownership of everything you upload to Foundation, listings, contacts, documents, branding. You grant us a licence to host, process, and display it as needed to run the service for you, including showing your own branding back to your website visitors and customers. Where you collect data from your own customers (buyers, tenants, vendors) using Foundation's tools, you are the data controller for that data and are responsible for having a lawful basis to collect and use it and for your own privacy notice to those customers; Foundation acts only as your data processor. Estimates and calculators are not advice

The service is provided "as is". We make no guarantee about search rankings, lead conversion, or the accuracy of any property-price estimate. Foundation Valuation produces an indicative estimate based on public HM Land Registry data, and Foundation Studio's calculators (stamp duty, mortgage, yield, moving costs) are indicative only. Neither is a substitute for a professional valuation, survey, or financial/legal advice, and neither should be relied upon as such by you or your customers.

Availability

We aim to keep Foundation available and performant, but we don't guarantee uninterrupted or error-free access, and we're not liable for outages caused by factors outside our reasonable control. Where practical, we'll give notice of planned maintenance that's likely to cause downtime.

Liability

To the maximum extent permitted by law, our total liability to you arising out of or in connection with these terms is limited to the fees you paid us in the 12 months before the claim arose. We're not liable for indirect or consequential losses, including loss of profit or loss of business, except where liability cannot legally be excluded (for example, for fraud, or death or personal injury caused by our negligence).

Ending the agreement

You can cancel your subscription at any time from your admin dashboard. We may suspend or terminate your account for breach of these terms, non-payment, or misuse of the service, and will where reasonably possible give you notice first. When your account ends, your access stops and your data is retained and then deleted in line with our Privacy Policy.

Changes to these terms

We may update these terms from time to time, with at least 30 days' notice of material changes. Continued use of the service after an update takes effect constitutes acceptance of the new terms.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
